January 14, 2025The Merger and Acquisition Outlook Report of Competition Authority for 2024
The Merger and Acquisition Outlook Report for 2024 was published by the Competition Authority and accordingly, it was stated that the total number of merger and acquisition transactions examined in 2024 increased by 43% compared to the previous year. The information contained in the report is summarised as follows:
- 311 merger and acquisition transactions were examined by the Competition Authority in 2024. Excluding privatisations, in 131 of these transactions, the target company was established in Türkiye.
- According to the classifications made in terms of the origin of the parties to the transactions, in 75 out of the 311 transactions in 2024, all of the parties were of Turkish origin, whereas in 167 of the transactions all the parties were of foreign origin. In 53 transactions, one of the parties was either Turkish or foreign companies.
- In terms of the fields of activity, in mergers and acquisitions transactions where the target company is of Turkish origin, the highest transaction number was recorded in “computer programming, consultancy and related activities” and “generation, transmission and distribution of electric energy”, and the highest transaction value was recorded in “retail trade other than shops, stands and market places”. Among privatisation transactions, the highest transaction value was recorded in “culture, arts, entertainment, recreation and sports”.
- When the transactions carried out by foreigners in Türkiye and abroad, totalling to an amount of 211, are ranked according to economic activity areas based on transaction value, the sectors that stood out among the sectors invested in worldwide in 2024 were “computer programming, consultancy and related activities”, “manufacture of other nutrients”, “activities of monetary intermediary institutions”, “wholesale trade of agricultural raw materials and livestock” and “supporting activities for transportation”.
- It was stated in the Report that the transaction values in this fields of “computer programming, consultancy and related activities”, “generation, transmission and distribution of electrical energy” and “retail trade outside shops, stalls and marketplaces” corresponded to, approximately, 19% of the total value of transactions conducted in Türkiye (excluding privatisations) notified in 2024.
- It was stated in the Report that in 2024, only eight notified transactions were classified as out of scope since they did not result in a change of control, and only two notified transactions were subjected to final review.
